Reseller Agreement Template

Proposed template between OKIAS (SMC-PRIVATE) LIMITED (“OKIAS”) and [Reseller legal entity] (“Reseller”) for an expressly approved resale scope.

Draft template — counsel review required. This is a starting point for review and negotiation, not an executed agreement or a representation that counsel has approved it. The parties must complete the order form, resolve every bracketed item and sign the final agreement before relying on it.

1. Limited approved appointment

Only a final signed agreement may authorise resale, and only for the territories, products, client categories and channels it expressly lists. The general prohibition on unauthorised resale remains in force. Reseller may not appoint sub-resellers, transfer its appointment or represent itself as OKIAS without specific written approval.

Reseller sets and invoices permitted client prices as stated in the final agreement and remains responsible for its client communications, billing conduct and legal compliance. It must not misrepresent the Service, promise verification or regulatory outcomes, or obscure OKIAS’s applicable Terms, AML / KYC Policy and privacy notices.

2. Anti-abuse and client controls

  • No sanctions evasion, prohibited-jurisdiction use, fabricated clients, credit or payout abuse, unauthorised sub-resale, deceptive marketing or circumvention of rate, security, account or geographic controls.
  • Reseller must provide required notices and obtain valid legal bases and consents for client and applicant processing.
  • OKIAS may review, restrict or suspend resale activity under the final agreement and applicable policies where abuse or legal risk is suspected.

3. Applicant data and reusable identity

Reusable identity requires applicant authentication and explicit consent for the specific merchant flow. Reseller approval does not create blanket access to client or applicant data. Each merchant receives only permitted fields; webhooks are PII-free by default; and each reuse is a separate verification requiring fresh liveness and any additional selected checks.

4. Billing, credits and refunds

Applicable catalogue prices or confirmed quotes, credit reservations, approval-only consumption, taxes, invoicing and refund responsibilities must be identified in the final order form. Approved verifications of authorised client accounts consume the reseller balance where the final agreement says so. OKIAS does not invoice reseller clients under the standard arrangement.

Additional-customer-attempt charging is DISABLED until owner-approved activation and is not currently charged. The future proposal would include three customer attempts; fourth and later attempts would consume 3 credits only after quote, explicit customer confirmation and actual processing. No charge would arise from refresh, poll, idempotent replay, webhook activity, internal or provider failure, and none would be retrospective.

KYB scopes and package, stakeholder, registry and provider pricing remain catalogue- and quote-controlled and NOT_FOR_SALE until required approval and activation. There is no signing fee. Contract, setup or implementation fees apply only to explicitly agreed custom work in a signed order form.

5. Final agreement required

The final agreement must address term, termination, client transitions, unused credits, support, confidentiality, intellectual property, indemnities, liability, notices and governing law. Contact support@okias.io to begin review. This draft alone grants no resale rights.
