Partner Agreement Template

Proposed template between OKIAS (SMC-PRIVATE) LIMITED (“OKIAS”) and [Partner legal entity] (“Partner”) for referral activities. Square-bracketed terms must be completed in the final order form.

Draft template — counsel review required. This is a starting point for review and negotiation, not an executed agreement or a representation that counsel has approved it. The parties must complete the order form, resolve every bracketed item and sign the final agreement before relying on it.

1. Appointment and scope

Subject to a final signed agreement, OKIAS would appoint Partner on a non-exclusive basis to refer prospective customers using approved attribution methods. This template does not appoint Partner as a reseller, agent, fiduciary or representative authorised to bind OKIAS. Any resale requires a separate expressly approved reseller agreement.

Partner must use accurate, approved descriptions of the Service, must not promise verification outcomes, regulatory acceptance, availability or savings, and must not imply that OKIAS endorses Partner’s own product or compliance position.

2. Referrals, attribution and conduct

  • Attribution, eligible transactions, commission rates, thresholds, fees and payout conditions must be stated in the final programme terms or order form.
  • Partner must not use deceptive attribution, self-referral abuse, fabricated accounts, unsolicited unlawful marketing, sanctions evasion or misleading comparisons.
  • OKIAS may review referred customers and suspected abuse under its Terms and AML / KYC Policy. No payout is earned merely by displaying this template.

3. Data and confidentiality

Partner receives no applicant identity data by virtue of referral status. Reusable identity requires applicant authentication and explicit per-merchant consent; a merchant receives only fields permitted for its own flow, and verification webhooks are PII-free by default. Each party must handle any personal data it receives under the applicable Privacy Policy, DPA and law.

4. Commercial controls

Partner commission is not a Credit balance. Any processing fee, minimum payout, approval condition or tax treatment must be expressly stated in the final programme terms; this template does not invent or activate a rate. No fee is charged merely for signing. Contract, setup or implementation fees apply only to explicitly agreed custom work described in a signed order form.

Any additional-customer-attempt charging proposal is DISABLEDuntil owner-approved activation. It does not currently charge Partner or referred customers. If activated for future transactions, three customer attempts would be included; the fourth and each subsequent attempt would consume 3 credits only after quote, explicit customer confirmation and actual processing. Refreshes, polls, idempotent replays, webhook activity, internal failures and provider failures would not trigger it, and no retrospective charge would apply.

KYB scopes and package, stakeholder, registry and provider pricing remain catalogue- and quote-controlled and NOT_FOR_SALE until required approval and activation.

5. Term, termination and final terms

The final agreement must state its term, termination rights, treatment of attributed activity, confidentiality, intellectual property, liability, notices and governing law. If its order form conflicts with marketing or draft wording, the signed final agreement controls to the extent stated there. Contact support@okias.io to begin review; sending or signing this public draft alone does not create a partner appointment.
