Enterprise Agreement Template
Proposed master agreement and order-form framework between OKIAS (SMC-PRIVATE) LIMITED (“OKIAS”) and [Enterprise customer legal entity] (“Customer”).
1. Master terms and order forms
Each final order form should identify the products, projects, usage scope, catalogue or negotiated charges, taxes, billing contacts, start date and any expressly agreed support or custom work. No service level, regional residency, security certification, implementation commitment or provider guarantee is created unless the final signed documents expressly provide it.
Enterprise wording does not override applicable law, sanctions restrictions, applicant rights or security controls. Any negotiated precedence clause must identify the documents and the precise subject matter it covers.
2. Privacy, security and applicant controls
- Execute and maintain the applicable DPA and document controller/processor roles, instructions, transfers, providers, sub-processors and deletion.
- Limit merchant results to permitted fields and treat verification webhooks as PII-free by default.
- Support access, supported correction, consent-withdrawal and deletion routes and required human review.
Reusable identity requires applicant authentication and explicit per-merchant consent. Each reuse is a separate verification requiring fresh liveness, a live selfie and any additional selected checks; no previous merchant’s decision is imported as the new decision.
3. Commercial terms and approval gates
Charges apply only as stated in the applicable catalogue, confirmed quote and final order form. Contract, setup or implementation fees are permitted only for explicitly agreed custom work; there is no fee merely for signing. Current approval-only and refund rules remain as stated in the Terms and Refund & Credits Policy unless a final signed agreement expressly and lawfully changes them for future transactions.
Additional-customer-attempt charging is DISABLED until owner-approved activation and is not currently charged. The future proposal would include three customer attempts; fourth and later attempts would consume 3 credits only after quote, explicit customer confirmation and actual processing. No charge would result from refresh, polling, idempotent replay, webhook activity, internal or provider failure, and no retrospective charges would apply.
KYB scopes and package, stakeholder, registry and provider pricing remain catalogue- and quote-controlled and NOT_FOR_SALE until required approval and activation. An enterprise quote or draft order form does not itself lift that gate.
4. Partners and resale
Enterprise status grants no resale or referral rights. Any such activity requires a separate final partner or reseller agreement. Approved resale never authorises undisclosed sub-resale, sanctions evasion, deceptive claims, billing abuse or circumvention of security and geographic controls.
5. Matters to negotiate
The final documents must address term, renewal, termination, exit assistance, confidentiality, intellectual property, warranties, indemnities, liability, insurance if required, audit rights, notices and governing law. Contact support@okias.io to begin review. This draft does not create an enterprise commitment or activate a quote.
